Unfortunately, the fundraising terms and inclusive desires in the church and nonprofit world help to create litigation such as this because the rights of “members” of a nonprofit are not always clear. Many churches and nonprofits have contributing or participating members who have no legal rights in the governance of the organization, sometimes in corporations where there is only a self-perpetuating board and no voting members at all. The articles or bylaws must spell out these rights clearly in order to possibly avoid litigation or at least make it more or less quick and simple dismissals.
